By using this website, you agree to the following terms and conditions.

IMPORTANT NOTICE: We do not require a signed contract. Your use of the services or any free or paid resources provided by us, including this https://www.debbaut.solutions/ site, indicates your full agreement and acceptance of these terms and conditions. In addition, special conditions apply depending on the products, mandates and participants in the assigned mission.

1. General terms and conditions of this contract

1.1 – The consulting firm Debbaut.Solutions (“We”) provides the www.debbaut.solutions website and various related services (collectively, the “Site”) to you, the Customer, subject to your compliance with all terms, conditions and notices contained or referenced herein (the “Terms of Use”), and any other written agreements between Us and you.

1.2 – All subsequent agreements are incorporated by reference into these general terms and conditions of sale. Specific conditions apply depending on the service and/or product purchased and/or whether it is an external or internal partner.

1.3 – These terms and conditions of sale come into force on the “last modification” date identified at the top of this page.

1.4 – We expressly reserve the right to modify these Terms from time to time without notice. You acknowledge and agree that it is your responsibility to regularly consult this site and the Terms of Use, and to familiarize yourself with the modifications. Your continued use of this site following such modifications will constitute an acknowledgement of the modified Terms and an agreement to abide by and be bound by the modified Terms.

1.5 – Individuals and businesses may enter into an agreement with Debbaut.Solutions. If you are a business, the representative accepting this Agreement represents that he or she has the authority to enter into this Agreement on behalf of the business, which business will be bound by the terms of this Agreement. These terms and conditions of sale are considered accepted upon the placing of the order by the customer.

By registering for our services, you acknowledge that you are authorized to act legally to enter into this Agreement and agree to all the terms and conditions contained herein. If any of these terms and conditions are found to be invalid, the validity of the remaining provisions shall remain unaffected.

2 – Ordering Services

2.1 – To ensure the quality of the experience with www.debbaut.solutions, we have set up conditions of service for mutual benefit. If you do not respect these rules, it means that you have violated these conditions.

Service packages

2.2 – The service packages on www.debbaut.solutions can be purchased according to the terms of the online offer or individual offers. When the service purchased is on a subscription basis, it is a recurring subscription that can be cancelled easily and at any time according to the conditions of Chapter 5 in its entirety, and more specifically (5.1) and (5.2).

2.3 – In order to better serve customers and to respond quickly to various technological changes:

  • services that are little used may disappear from the catalogue of services offered,
  • and new service offerings may be offered in addition and at no charge for the active period of the service package purchased.

The service offers, products, services and prices published online apply immediately to all service packages. These prices are valid at the time of the order.

2.4 – The service packages offered for purchase include various services that vary according to the type of services covered and the respective offer.

2.5 – You may request an adaptation of your service package at any time.

  • Adaptation to a more expensive service package: The duration of the contract will remain the same. At the time of the change, the amount already paid will be prorated according to the cost of your new service package. The difference that is missing will have to be paid in addition, and this before being able to benefit from the new service package.
  • Adaptation to a cheaper service package: The duration of the contract will remain the same. There will be no refund in this case. The new service package will only be taken into account as of the new billing period.

2.6 – Service packages are billed on a one-time, monthly or annual basis, depending on the order placed. Invoices for service packages are issued according to the conditions of Chapter 4 in full and in compliance with the deadlines set out in Chapter (4.2).

3 – Provision of services

3.1 – The service period begins as soon as the order is confirmed by electronic email and paid in full. The start of the services can begin immediately, after a minimum of 24 hours (working days from Monday to Friday), with a maximum delay of 2 (two) weeks in the event of high demand, end of year vacations, and/or vacation period.

3.2 – Each request for assistance must be submitted in writing.

3.3 – For the sake of productivity and clarity, the work of a service package cannot be shared between several legal entities, companies or independent persons.

Each service package may be subject to additional terms and conditions of sale in addition to the present Conditions.

3.4 – It is your entire responsibility to ensure that the service package purchased is used before the end of the calendar month and according to the maximum monthly hours or tasks allowed to which you are entitled. The parties acknowledge that no postponement of work to other periods of time and/or other Customer accounts is accepted, for whatever reason.

3.5 – If a delay occurs because of the Client, the stages and delivery dates of the work will be extended according to availability. A suggested finishing date and last-minute corrections will have to be mutually accepted and technically possible.

3.6 – All packages benefit from the following support:

  • from Monday to Friday
  • available hours: 8:00 – 12:00 and 14:00 – 18:00
  • work delivered quickly, according to the complexity of the assigned tasks and agenda
  • urgent work (working days only and until 21:00h maximum): possible at extra charge according to the departure rate indicated in point (4.9)
  • work after 21:00h: no
  • working on fairy days, Saturday, Sunday: no

All times are in Central European Time (CET).

3.7 – Requests that are not covered by the package of services purchased are refused (for example services not included in the package purchased, extended hours, presence on-site, accompaniment, travel, night work, etc.).

4 – Prices – Invoicing – Payment

4.1 – The price of service packages is as indicated. The prices of the service packages are expressed in Swiss Francs.

4.2 – Invoicing of the monthly package takes place 15 days before the end of the calendar month. The annual package is invoiced 60 days before the end of the calendar year.

4.3 – Payment of invoices must be made in advance according to the means chosen and accepted at the time of the order. All bank or postal payment charges are to be borne by the customer, depending on the number of payments made.

4.4 – Payments in advance do not bear interest.

4.5 – Failure to pay for all or part of the order and transaction fees shall automatically and without formality result in the immediate suspension of services until full receipt of the payment due.

4.6 – The billing of all services and interventions is done by a period of a minimum of 20 minutes. Depending on the complexity of the work requested, a certain number of hours is required. Examples of work and their estimated time are shown on our service packages page. If you clarify your instructions from the start, you will have fewer interventions, therefore you will increase the efficiency of your service package.

4.7 – Fees for additional work requested later by the client are due before any additional work begins.

4.8 – Additional fees for printing, paper, envelopes, postage, transportation, purchase of specific materials, purchase of equipment, purchase of licenses, reports, data, etc. are billed in addition to the service packages.

4.9 – Fees for work in emergency and/or outside the hours established in point (3.6) are calculated on an hourly basis of minimum 200.- CHF per hour.

5 – Cancellation of flat rates – Refunds – Termination of service

5.1 – Subscriptions may be cancelled at any time, at no additional cost and with no hassle.

5.2 – To cancel your service package, simply indicate the termination of services before a new invoice is issued according to the conditions (4.2). Since our direct debits are automatic, it is therefore your responsibility to stop your service packages before issuing a new subscription invoice.

5.3 – The service package already paid for the current period and/or the invoice already issued cannot be cancelled or refunded.

5.4 – You may continue to use the Service Packages for the remaining time for which you have paid, but we will not be able to issue a refund for the remaining days or months.

5.5 – After the end of the paid package subscription period, the customer will no longer have any access to the services. Subsequent requests for files and/or any other information relating to work performed will be billed. Please note, however, that all data, files, and/or work done for the client will be permanently deleted within one month (30 days).

5.6 – We reserve the right to terminate a client’s service at any time. No damages or compensation can be requested from the business consulting firm Debbaut.Solutions for the termination of the services provided, and it can not be obliged to honor the services requested after the termination of the contract. This means that we may terminate our relationship with a client for any number of reasons, including but not limited to:

  • If the client consistently requests work outside of its service package.
  • If the client delays and/or fails to pay invoices in a timely manner.
  • If the client engages in immoral activities.
  • If the client abuses his or her assistant or any other team member of www.debbaut.solutions.

In this case, we will reimburse you on a pro-rata basis, less services, supplies, and other work already provided. Services already billed and paid for are not refunded. Unpaid invoices remain due.

6 – Final provisions

6.1 – In accordance with jurisprudence, the following are considered as cases of force majeure: strikes, civil or foreign war, riots, pandemics, acts of terrorism, total or partial destruction of production or other premises and facilities, manufacturing incidents, disruptions in transport, supply difficulties, customs measures of any nature or origin whatsoever or any other fortuitous event that prevent or delay the execution of services in whole or in part.

6.2 – Either party may disclose confidential information to the extent required by an order of a court, tribunal, government or regulatory authority having jurisdiction to order the information to be obtained.

6.3 – The business consulting firm Debbaut.Solutions is not responsible for material, immaterial, bodily and/or any other damages, which could result from a malfunction and/or misuse of the products and/or services marketed. The responsibility for the indirect, incidental, and/or consequential damages, which result from the use of the site, the services, and/or products is excluded. Any claim for damages for incorrect illustrations, figures and/or texts is strictly excluded. The Debbaut.Solutions consulting firm, partners, service providers, contractors, and/or any other service provider do not assume any responsibility for any indirect damage due to the present: operating loss, loss of profit, loss of data, loss of contract, damage and/or other costs, which could occur. The Customer acknowledges and accepts that it is solely responsible for the maintenance of its insurance contracts and a system for the protection of its own interests and business.

6.4 – Liability cannot be claimed either for the inconveniences or damages inherent to the use of the Internet network: interruption of service, external intrusion or the presence of a computer virus or any other fact qualified as force majeure. The Customer acknowledges and accepts that he is solely responsible for the maintenance of a system of protection and backup of his own data such as antivirus, anti-spyware, anti-spam, intrusion detection, firewall, private network VPN, etc..

6.5 – The Debbaut.Solutions consulting firm, partners, service providers, contractors, and/or any other service provider will not incur any liability or penalty for delay in the performance of services due to the actions or negligence of the Customer, for unilateral termination of services, and/or for external reasons as mentioned in chapters (6.1), (6.2), (6.3), (6.4), and/or (6.5).
